Terms & Conditions

Business Name: Business 101 Accelerator  (“the Agency”)
Location: Denver, Colorado, USA
 

 

1. Scope of Services

Business 101 Accelerator  (or “the Agency”) provides digital services including web design, search engine optimization (SEO), social media profile management and marketing, graphic design, and content creation. Services may be delivered under monthly subscription packages with optional package add-ons.
 

 

2. Service Agreements

All projects and subscriptions are governed by these Terms & Conditions, along with any signed proposals, statements of work, or invoices that outline specific deliverables, timelines, and costs.
 

 

3. Payments & Billing

  • Services are billed on a monthly subscription basis, payable in advance.
     

  • Add-on services will be billed separately or added to the next billing cycle.
     

  • Payment is due by the invoice due date. Late payments that are returned may incur a late fee based on the financial institution processing charge.
     

  • Failure to pay within 7 days may result in suspension of services until payment is received.


4. Revisions

  • The Agency provides up to two (2) rounds of revisions per deliverable.
     

  • Additional revisions beyond this limit may be billed at the standard add on rate. 
     

 

5. Client Responsibilities

  • The Client must provide all necessary content, materials, feedback, and approvals within agreed timelines.
     

  • Delays in providing required information may extend delivery timelines and may incur additional costs.
     

 

6. Add-On Services

  • In addition to its standard service packages, the Agency offers a range of optional add-on services designed to enhance or extend the scope of work. These add-ons may be requested and purchased individually (à la carte) or bundled with an existing subscription package, at the Client’s discretion.
     

  • Specific details of available add-ons—including pricing, deliverables, and service descriptions—will be provided in the applicable proposal, service plan, or invoice and are hereby incorporated into these Terms & Conditions by reference
     

  • Delays in providing required information for execution of any requested Add-On’s - as with standard service packages -  may extend delivery timelines and may incur additional costs. 

Unless otherwise agreed in prior communication or in writing:

  • Add-ons follow the same billing and payment terms as the primary services.
     

  • They are subject to the same intellectual property provisions, confidentiality obligations, and cancellation policies outlined herein.
     

  • One-time add-ons are billed upon acceptance; recurring add-ons are billed with the Client’s regular subscription cycle.
     

The Agency reserves the right to update or modify its list of optional add-on services and associated fees from time to time, with any changes communicated to the Client in advance.
 

 

7. Intellectual Property

  • Upon full payment, the Client will own all final deliverables.
     

  • The Agency retains the right to display completed work in its portfolio, website, and marketing materials.
     

  • Any third-party assets (e.g., stock images, fonts, plugins) remain subject to their original licensing terms.
     

 

8. Refunds & Cancellations

  • Due to the nature of digital services, all fees are non-refundable once work has commenced.
     

  • Monthly subscriptions may be canceled within 7 days written notice prior to the next billing date.
     

  • Prepaid months are non-refundable.
     

 

9. Limitation of Liability

  • The Agency’s total liability to the Client for any claim arising from services provided is limited to the total amount paid by the Client in the three (3) months preceding the claim.
     

  • The Agency is not liable for indirect, incidental, or consequential damages, including loss of revenue or data.
     

 

10. Third-Party Services

  • The Agency may use third-party tools, platforms, or software to deliver services.
     

  • The Client is responsible for the cost of any third-party licenses, subscriptions, or renewals, unless otherwise agreed.
     

 

11. Confidentiality

Both parties agree to keep confidential all proprietary information shared during the course of the project, except where disclosure is required by law or parties consent.
 

 

12. Governing Law

These Terms & Conditions are governed by the laws of the State of Colorado, USA. Any disputes will be subject to the exclusive jurisdiction of the courts located in Denver County, Colorado.
 

 

13. Dispute Resolution

Before initiating legal proceedings, both parties agree to attempt resolution through mediation. If mediation fails, disputes will be resolved through arbitration in Denver, Colorado, in accordance with the rules of the American Arbitration Association.
 

 

14. Acceptance

By engaging the Agency’s services or continuing a subscription, the Client agrees to be bound by these Terms & Conditions.
